1. Acceptance of Terms

By accessing openlance.ai or joining our early access waitlist, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use the site or submit your information.

2. Service Description

openlance.ai is an AI-powered cross-platform browser IDE and agent marketplace. The platform enables users to describe software ideas in natural language, watch AI agents plan and generate working applications, and hire or publish agents to extend functionality. As of these Terms, the product is in early access and available to waitlist participants only.

3. Early Access and Waitlist Participation

Joining the waitlist does not guarantee immediate access to the platform. We distribute access at our discretion, prioritizing based on registration order and product readiness. By submitting your email, you consent to receive communications about your waitlist status, product updates, and launch announcements.

Early access participants acknowledge that the platform is under active development. Features may be incomplete, experimental, or subject to change without notice. There are no service level commitments or uptime guarantees during the early access period.

4. User Responsibilities

As a user of openlance.ai, you agree to:

• Provide accurate and complete information during registration
• Maintain the confidentiality of any account credentials issued to you
• Use the platform only for lawful purposes and in compliance with applicable laws
• Not misuse, reverse engineer, or attempt to extract the platform's underlying models or systems
• Not use the platform to generate harmful, malicious, or illegal content or software

5. Acceptable Use

You agree not to:

• Use the platform to create malware, phishing tools, or any software intended to cause harm
• Generate content that infringes on the intellectual property rights of others
• Attempt to circumvent rate limits, access controls, or usage restrictions
• Share or resell access to your early access account without our permission
• Use automated means to interact with the platform beyond normal usage patterns
• Upload or submit content that is illegal, harassing, or violates third-party rights

6. Intellectual Property

The openlance.ai platform, including its name, logo, branding, design, codebase, and underlying technology, is the exclusive intellectual property of openlance.ai. You may not reproduce, distribute, or create derivative works of the platform without our express permission.

Code and applications you generate using our platform remain your intellectual property, subject to any third-party licenses applicable to generated code. We do not claim ownership over the output you create.

7. Beta Features and Platform Changes

As an early-stage product, openlance.ai will evolve continuously. Features may be added, modified, or removed without prior notice. We reserve the right to update the platform, change functionality, or discontinue certain features as we iterate based on user feedback and development priorities.

8. Limitation of Liability

openlance.ai is provided on an "as is" and "as available" basis during early access. We make no warranties, express or implied, regarding platform reliability, accuracy of AI-generated output, or fitness for a particular purpose. To the fullest extent permitted by law, openlance.ai shall not be liable for any indirect, incidental, or consequential damages arising from your use of the platform.

You acknowledge that AI-generated code may contain errors, security vulnerabilities, or unintended behavior. You are responsible for reviewing and testing any code produced by the platform before deploying it in any environment.

9. Account Suspension and Termination

We reserve the right to suspend or terminate access to openlance.ai for any user who violates these Terms, engages in prohibited conduct, or whose usage negatively impacts the platform or other users. Termination may occur without prior notice in cases of serious violations.

10. Future Paid Plans

During early access, openlance.ai is provided free of charge. We may introduce paid subscription tiers in the future. Any transition to paid plans will be communicated clearly in advance, and early access participants will receive notice before any pricing changes take effect. You will have the opportunity to evaluate new plans before committing.

11. Disclaimer of Warranty

The platform and all services are provided without warranty of any kind. We do not guarantee uninterrupted access, error-free operation, or that AI-generated output will meet your requirements. Use of openlance.ai is at your own risk.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Delaware.

13. Changes to Terms

We may update these Terms as our platform and business evolve. Material changes will be communicated to waitlist subscribers via email. Continued use of the platform after changes take effect constitutes acceptance of the revised Terms.
